1. Acceptance of Terms

By creating an account or using the services provided by Subsight, MB ("Subsight", "we", "us", or "our") at subsight.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Service.

2. Description of Service

Subsight is a B2B subscription tracking and management platform designed to help businesses monitor their software expenses.

Accuracy Disclaimer: While we use advanced technology (including AI) to scan bank statements and detect subscriptions, we do not guarantee 100% accuracy. You acknowledge that the Service is a support tool and should not be your sole method of financial accounting or tax reporting.

3. Accounts and Registration

To use Subsight, you must register for an account.

Eligibility: You must be at least 18 years old and have the authority to form a binding contract on behalf of your organization.
Security: You are responsible for maintaining the confidentiality of your login credentials. You notify us immediately of any unauthorized use of your account.
B2B Use: This Service is intended for business use. By creating an account, you represent that you are using the Service for professional purposes, not as a consumer.

4. Subscriptions and Payments

Billing: Subsight is a paid service. By upgrading to a paid plan, you agree to pay the fees indicated on our Pricing page. Payments are processed securely via Stripe.

Renewal: Your subscription will automatically renew at the end of each billing cycle (monthly or annually) unless you cancel it before the renewal date.
Cancellation: You may cancel your subscription at any time through your account dashboard. Your access will continue until the end of the current billing period.
Refunds: As a B2B service, all fees are non-refundable, except as required by applicable law. We do not provide refunds for partial months of service.

5. User Data and Content

We value the trust you place in us when you share your business information. This section describes your ownership rights and the limited ways we use your data to provide our service. By using Subsight, you may upload or provide various types of information to help us track your subscriptions.

Your Data: You retain all ownership rights to the data, files, and bank statements you upload to Subsight ("User Content").
License to Us: By uploading User Content, you grant Subsight a worldwide, non-exclusive, royalty-free license to use, host, and process that content solely for the purpose of providing the Service to you (e.g., to extract subscription data).
Data Deletion: As stated in our Privacy Policy, we delete raw bank statements and CSV files immediately after processing.

6. Prohibited Activities

You agree not to:

Use the Service for any illegal purpose.
Attempt to reverse engineer, decompile, or disassemble any part of the Service.
Share your account credentials with individuals outside your organization.
Upload any data containing sensitive personal financial information of third parties without their consent.

7. Intellectual Property

The Subsight platform, including its code, design, logos, and features, is the exclusive property of Subsight, MB. These Terms do not grant you any rights to use our trademarks or brand elements without our permission.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Subsight makes no warranties, expressed or implied, regarding the reliability, accuracy, or availability of the Service. We do not warrant that the Service will meet your specific requirements or be error-free.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Subsight, MB shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill. In no event shall our total liability to you for all claims exceed the amount you paid to Subsight in the 12 months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania. Any disputes arising from these Terms shall be resolved in the courts of Vilnius, Lithuania.
